By using HankEats you agree these rules apply to your account. If a provision feels misaligned with the physical house you steward, pause onboarding until counsel initials the nuance inside your locality.
The service pulse
HankEats offers guest-facing flows you configure, dashboards, optional alerts, prepaid messaging credits, billing through our payments partner, and related APIs as described when you onboard. Availability follows normal SaaS practice: planned issues get posted somewhere you can subscribe to. Nothing here guarantees Yelp policy compliance; interpretation of incentivized-review rules rests with merchants and localized counsel.
Merchant responsibilities
You maintain signage, disclosures, staffing truthfulness inside attribution modules, truthful marketing about coupons, safeguarding API keys and confidential setup credentials we issue for your venue, honoring guest privacy pledges surfaced before OTP workflows, and funding messaging wallets adequately so promised responses never ghost the guest sitting on the stool.
Fees & payouts
Monthly fees and wallet top-ups route through our payments partner. Tax handling follows that partner unless we agree otherwise on paper. Refunds fit their normal dispute timelines unless your contract says different.
Suspension & termination
We may throttle accounts enabling harassment, spoofed coupon abuse, deceptive traffic, tampering with guest consent text, or circumventing OTP authentication. You may churn anytime inside billing surfaces — dashboards retain read-only remnants when law demands retention envelopes.
Eligibility & merchant accounts
You represent that you have authority to bind the business accepting these Terms. Confidential onboarding access for your venue must be guarded like cash-register keys. Misuse that ties an account you do not operate may result in suspension and referral to our payments partners or processors for fraud signals. You agree to furnish accurate storefront information and honor guest-facing disclosures you configure in the HankEats product.
Changes & communication
We may revise these Terms alongside product releases. Continued use after materially adverse updates constitutes acceptance absent a separate superseding agreement. Urgent operational notices — security incidents or billing regressions — may reach the email associated with your Clerk account or published status surfaces.
Dispute resolution primer
Contact legal@hankeats.com before filing formal arbitration or court papers so founders and counsel have a pragmatic chance to unblock you. If informal resolution falters, the limitation and venue provisions below steer outcomes unless preempted by non-waivable consumer rules in your locality.
Limitation & governing law backbone
Except where outlawed, cumulative liability stemming from outage, data handling, negligence, emotional distress narratives, indirect lost revenue ceilings, or supplier meltdown bottoms at totals paid twelve months preceding the triggering claim. Governing substantive law aligns with HankEats's incorporation jurisdiction in the United States, honoring venue doctrines your counsel negotiates separately for international affiliates.
